Summary
Conagra Brands completed a $500 million public offering of senior unsecured notes carrying a 5.400% coupon and maturing in August 2031. The notes rank equally with the company's other senior unsecured obligations but sit behind secured debt and subsidiary liabilities in the capital structure. Interest payments begin in February 2027 and occur semiannually thereafter.
The indenture includes standard bondholder protections: Conagra must offer to repurchase the notes at 101% of principal if a change-of-control event occurs, and the company faces customary restrictions on incurring secured debt, sale-leaseback transactions, and major asset transfers or mergers. The company retains the right to redeem the notes early at specified prices.
The filing does not disclose the intended use of proceeds, though debt refinancing and general corporate purposes are typical for such offerings. The 5.400% rate reflects current market conditions for investment-grade consumer staples issuers with Conagra's credit profile.

The Company may redeem some or all of the Notes at any time and from time to time prior to their maturity at the redemption prices described in the prospectus supplement. Upon the occurrence of a “Change of Control Triggering Event,” as defined in the Fourth Supplemental Indenture, the Company will be required to offer to repurchase the Notes at 101% of the aggregate principal amount thereof, plus accrued and unpaid interest, if any, to, but not including, the date of repurchase.
Conagra can redeem the notes early at specified prices. If a change-of-control event occurs, the company must offer to repurchase the notes at 101% of principal plus accrued interest, providing downside protection to bondholders in an acquisition scenario.
